Constitution of the West China Union University

As Revised by Joint Commission held in London, June, 1910

1 - NAME

English: West China Union University

Chinese: Hua Hsi Hsieh T'ang

2 - AIM

The object of the University shall be the advancement of the Kingdom of God, by means of higher education in West China under Christian auspices.

(a) By providing such facilities for the education of Chinese, or others, connected with the various missions in West China, as shall enable them to take their place among the educated classes of the day.

(b) By affording means for the education of other youth of all classes.

3 - ESTABLISHMENT

The University is established in the first instance by the joint action of the four following Missionary Organizations:

The American Baptist Foreign Mission Society

The Friends' Foreign Mission Association, Great Britain and Ireland

The General Board of Missions of the Methodist Church, Canada

The Board of Foreign Missions of the Methodist Episcopal Church, U.S.A.

Each of the Organizations forming a college therein.

3 设立

4 - Colleges:

(a) Each Organization founding a college must provide for the accommodation of its own teachers and students.

(b) The students of the Colleges shall be entitled to enter for courses of study and examinations provided by the University, subject to their conformity to the rules connected therewith.

(c) The management of the individual colleges shall be independent at the control of the Senate, so long as their rules are not contrary to the provisions of the Constitution.

(d) A share of each student's fees shall be contributed annually to the funds of the University, this share to be determined from time to time by the Senate.

(e-g) Colleges shall provide facilities, faculty, and arrangements for religious training as required.

(h) No participating Organization shall duplicate any work of the University, except with the approval of the Senate.

5 - Control:

(a) The Missionary Organizations participating in the Union shall have final control in all matters pertaining to the Constitution.

(b) Control of the University, in matters of policy and general administration, shall be vested in a Board of Governors in the home lands, consisting of representatives appointed by each of the participating Missionary Organizations.

4 学院

5 管理

(a) 所有与本章程相关事项之最终管理权,属于参与联合之各差会。

(b) 大学政策与行政之管理权,由设于本国(海外)之董事会(Board of Governors)执掌;

Organization being entitled to appoint three. These representatives shall hold office for a term of three years, or until their successors are appointed.

The Board of Governors shall have power to add to its membership a number of persons not exceeding the number of Organizations participating.

It shall have power to fix its time and place of meeting, and its order of business, and to alter the same from time to time.

(c) The Board of Governors shall hold, either in the name of one or more members of the said Board, or as a corporate Body, if incorporated, on behalf of the University all Deeds of Trust, endowments, and other property of the University not otherwise provided for.

(d) In all ordinary affairs, decisions of the Senate may be put into effect immediately after being arrived at. In case, however, the members representing one of the participating Organizations differ from the other upon any matter, and are supported in their dissent by a majority of their Mission Body, it shall be understood that the action of the Senate will be regarded as tentative, and that its ultimate adoption will be subject to the approval of the Board of Governors, which in all matters of general policy shall have ultimate control.

6 - Convocation

(a) Convocation shall consist of the whole body of graduates at the University in all departments.

(b) Convocation shall meet annually, receive a statement from the Senate as to the year's working of the University, and elect by ballot, from a list of nominations previously made by members of Convocation, and approved by the Senate, four members to serve on the Senate for the ensuing year.

7 - Senate

(a) Subject to the reservation mentioned in section 5 of this Constitution, the authority in all matters connected with the University shall be vested in a Senate.

(b) The Senate of the University shall be composed as follows:

1. Two representatives appointed directly by each Organization participating in the Union.

6 毕业生大会(Convocation)

(a) 由大学各部全体毕业生组成。

(b) 每年集会一次,听取教务会年报,并从毕业生提名、教务会认可之名单中投票选出四人,任下年度教务会成员。

7 教务会(Senate)

(a) 除第五条保留事项外,大学一切权力归教务会。

(b) 教务会之组成:

 1. 每一参与组织直接指派代表二人;

2. Such members of the staff of the University as may be approved for this purpose by the Board of Governors.

3. Four representatives elected by ballot by Convocation, from a list approved by the Senate.

The time at which this section shall come into operation shall be determined by the Senate.

(c) The Senate shall have charge of all such matters as shall need to be dealt with in a uniform manner by colleges, schools, hospitals, or students.

(d) The Senate shall deal with all applications for admission into, or withdrawal from the Union, in accordance with sections 11 and 12.

(e) The Senate shall arrange for the conducting of a religious service at least once a week for all the students of the University.

(f) The Senate shall have power to make provision for the affiliation of any school, college, or other educational institution that may hereafter be established in West China, and to terminate such affiliation.

(g) No one of the participating Organizations shall have a voting power on the Senate equal to half the total membership.

(h) One third of the total members of the Senate shall form a quorum, provided always that more than one half of the participating Organizations be represented.

8 - FACULTY.

(a) The Faculty of the University shall be composed of:

1.    Teachers not appointed by the participating Organizations, but assigned by the Senate.

2.    Teachers appointed directly by the Board of Governors.

3.    Teachers directly employed by the Senate.

(b) All members of the teaching staff of the University upon their assignment by the Senate, shall become members of the Faculty of the University, and shall so continue as long as they are so engaged.

9 - CHANCELLOR

The Board of Governors may from time to time elect suitable persons to the honorary position of Chancellor. The person so elected shall hold office for a period of two years.

(h) 教务会会议以全体三分之一为法定人数,且须有过半数之参与组织出席。

8 教师团(Faculty)

(a) 教师团由下列人员组成:

 1. 非由各参与组织指派而由教务会调派之教师;

 2. 董事会直接任命之教师;

 3. 教务会直接聘用之中方教师。

(b) 所有经教务会指派之教学人员,于任职期间即为教师团成员。

9 校长(Chancellor)

董事会得随时选举适当人士担任名誉校长,任期两年。

10 -  PRESIDENT.

The President of the University shall be appointed by the Board of Governors.

11 - FINANCIAL

The funds of the University shall be drawn from the following:

1.    Contributions from the colleges (as per section 4 (d)).

2.    Fees for matriculation, examinations, and graduation.

3.    Contributions from the Organizations participating in the Union.

4.    Special donations, subscriptions and endowments.

5.    Any interest that may be derived from the above.

12 - ADMISSION TO CO-OPERATION.

Any Organisation wishing to found a college, a school, or hostel, or to contribute otherwise to the equipment or staff of the University, shall make a written application which shall first be dealt with by the Senate, whose decision shall be subject to approval by the Missionary Organizations already participating.

13 - WITHDRAWAL FROM CO-OPERATION.

(a) Any Missionary Organization participating in the University, and desiring to withdraw therefrom, shall give to the Senate not less than twelve months' notice in writing, and the Senate shall promptly forward the same to the Board of Governors.

(b) In every such case of withdrawal, option of purchase of land and buildings, acquired by it for the work of a college, or for other University purposes, shall be given to the University by the withdrawing Organization, which option shall be effective for a period of two years. If the University declines to make the purchase, the price and conditions of sale shall be determined by mutual agreement, or by arbitration, but it is understood that the land, apart from improvements, shall be estimated at its original cost.

*The relationship of such institutions shall be determined by the Senate at the time of their admission.

(c) The University shall not be liable to refund any sums which it may have received from the withdrawing Organisation towards the general fund, or any special funds for equipment, or other University purposes.

14 - AMENDMENT OF CONSTITUTION.

When a proposal to amend the Constitution is made, notice shall be given to the Senate, the Board of Governors, and the Missionary Organizations participating. The question shall not be voted on in the Senate till an interval of eight months has elapsed. At the end of that period, if it be carried by a majority of the members of the Senate, and a majority of the Board of Governors, it shall be referred to the Missionary Organizations participating in the University. In order to be adopted it must be approved by three-fourths of the said Organizations.

10 大学校长(President)

11 财政

大学经费来源如下:

1. 各学院按4(d)条缴纳之成数;

2. 注册、考试及毕业费;

3. 各参与组织之捐款;

4. 特别捐款、认捐及基金;

5. 上述款项之利息。

12 加入合作

凡欲创设学院、学校或宿舍,或以其他方式捐助设备、师资者,须具函向教务会申请;教务会决议须得现有各差会同意。

13 退出合作

(a) 欲退出之差会须提前至少十二个月书面通知教务会,教务会应即转达董事会。

(b) 退出时差会如为学院或其他大学目的所置土地房屋,大学有优先购买权,期限两年;若大学放弃,售价及条件由双方协议或仲裁决定,惟土地原价不计改良费。

(c) 大学无须退还该差会已缴之普通或特别基金。

14 章程修改

修改提案须送达教务会、董事会及各参与差会;八个月后,经教务会及董事会多数通过,再经四分之三差会同意,始为有效。

BY-LAWS

1-BOARD OF GOVERNORS.

(a) In case of the inability of any representative to attend a meeting of the Board of Governors, the Organisation which he represents shall have power to appoint a substitute, in such way as it may direct.

(b) In case of the absence of any member or members, the remaining representatives, or representatives shall have power to cast votes up to the full number to which the Organization is entitled.

(c) In order to arrive at decisions on subjects dealt with between the annual meetings, such business shall be submitted by the Secretary to the members of the Board of Governors, who shall forward their opinions to the Secretary, either personally or through a meeting of the representatives of their Missionary Organization. The Secretary shall then formulate the decision of the majority and submit it to the members of the Board of Governors, and unless objection is taken by at least three members of one Missionary Organisation, or four of two, such decision shall stand. In the event of such objection it shall, after re-consideration, be referred back to the dissenting members, who shall again consider the question and report to the other members, who, if agreed, may arrive at a decision. If no objection is received within six weeks either from individual members of the Board of Governors, or from Secretaries of Committees representing the Societies concerned, it will be understood that assent is given to the proposal under consideration.

(d) There shall be an Executive Committee of four who, between the meetings of the Board of Governors, shall have full power to act. Its action shall be brought up for ratification at the succeeding meeting of the whole Board of Governors.

(e) There shall be a regular meeting of the Board of Governors annually, such meetings to be held in rotation in the United States, Canada, the United States, England; subject to re-arrangement by the Executive Committee.

附则(By-Laws)

1 董事会

(a) 代表缺席时,得由该差会另派代理人。

(b) 缺席代表之票得由同差会其他代表代投,直至该差会应有名额满额。

(c) 年会外之表决,由书记函询各董事;除非单一差会至少三名或两差会共四名董事反对,书记即可宣布多数意见为决议。

(d) 设执行委员四人,于董事会闭会期间全权行事,惟须于下届年会追认。

(e) 董事会年会依美、加、美、英顺序轮流举行,执行委员得重排。

2 - PRESIDENT.

It shall be the duty of the President of the University to preside at all meetings of Convocation.

3 - SENATE.

(a) The Senate shall annually elect the following officers of the University:

Vice-president, Treasurer, Secretary.

(b) The Senate shall have general management of the academic work of the University, including the course of study, the appointing of teachers to the various departments, the examinations for degrees, scholarships, prizes, and certificates of honour.

(c) The Senate shall grant degrees on the recommendation of the Faculty.

(d) The Senate shall employ directly all Chinese teachers engaged in University teaching.

(e) The Senate shall control the current funds of the University, draw up an annual Budget, and determine the contributions to be made by each college to the funds of the University, in accordance with section 4 (d).

(f) In the event of any Organisation having a representation in the Senate equal to, or larger than, that of all other Organisations combined, it shall, in order to conform to section 3 (a) of the Constitution, decide which of its representatives shall be entitled to vote, and shall communicate their names in writing to the Secretary.

ADDITIONAL BY-LAWS.

(g) Action of the Senate in all matters involving any considerable change in the policy of the University, appointment of permanent foreign teaching staff, erection of important buildings, establishment of a new department, purchase of additional land, co-operation or affiliation of a new organization, or the united expenditure of more than $200 ($1,000 T.S.) additional to the annual budget, shall be subject to confirmatory action by the Board of Governors.

3 教务会

(a) 每年选举副校长、财务、书记。

(h) The Senate shall submit to the Board of Governors minutes of its meetings, an annual report of the University and the annual budget. In case any action taken by the Senate is regarded by the Commission as affecting an issue of general policy, such action shall be open to review and the final action of the Commission shall be controlling.

4 - FACULTY.

(a) The Faculty shall outline the course of study, make recommendations regarding the conduct and time of examinations, and submit the same to the Senate for approval.

(b) The Faculty shall determine time-tables, and grant dispensations from lectures, laboratory work, and other exercises of the University.

(c) The Faculty shall make recommendations to the Senate as to the granting of degrees.

5 - PROPERTY.

In case any of the participating Organizations wishes to sell or lease any portion of its lands required for the work of a college, or for other University purposes, an option effective for two years shall be given to the University.

6 - CHANGES IN BY-LAWS.

Changes in By-laws can be made only by a two-thirds majority of the Senate, and the approval of the Board of Governors.

Notice of proposed change must be given to the Senate in writing one month prior to the date of voting.

4 教师团

(a) 拟定课程及考试办法,送教务会核准。

5 产业

NOTES ON CONSTITUTION

1 - UNIVERSITY.

By the term "University" as used in this Constitution, shall be understood an institution comprising a group of colleges, providing instruction leading to a baccalaureate degree, and furnishing facilities for post graduate work.

2 - COLLEGE.

By the term "College" (see section 18) shall be understood an institution providing a building or buildings, and one or more teachers for instruction, in connection with the University, enrolling students and providing residential accommodation for the same.

3 - SCHOOL.

By the term "School" (see section 12) shall be understood an institution providing a building and a staff of teachers for giving instruction in any subject or group of subjects in connection with the work of the University, but not enrolling students.

4 - HOSTEL.

By the term "Hostel" (see section 19) shall be understood an institution consisting of a Principal and Students, and providing residential accommodation for the same, but not under any obligation to provide teaching or equipment for the University.

5 - OTHER CONTRIBUTIONS.

"To contribute otherwise to the equipment of the staff" (see section 12) shall be understood to mean:

(a) To provide a teacher or teachers to the University staff; or

(b) To furnish a building or equipment to the University.
