| CONSTITUTION
WEST CHINA UNION UNIVERSITY ARTICLE I. - NAME. The Institution shall be called :- In English, West China Union University. In Chinese, 華西協合大學校 ARTICLE II. - OBJECT. The object of the University shall be the advancement of the Kingdom of God, by means of higher education. In West China under Christian auspices ARTICLE III. - CONSTITUENT ORGANIZATIONS. The University is established by the joint action of the four following Missionary Organisations: The American Baptist Foreign Mission Society; The Friends' Foreign Mission Association, Great Britain and Ireland; The General Board of Missions of the Methodist Church, Canada; The Board of Foreign Missions of the Methodist Episcopal Church, U.S.A.; each of those organizations founding a college in the University. Other Missionary Organizations may be admitted to participation in the work of the University, on terms proposed by the Senate and approved by the Board of Governors, and by each of the organizations already participating. ARTICLE IV. - COLLEGES. Section 1. Each organization founding a College must provide for the accommodation of its own teachers and students. Section 2. The students of the Colleges shall be entitled to enter for courses of study and examinations provided by the University, subject to the rules thereof. Section 3. The management of the individual Colleges shall be independent of the control of the Senate, as long as their rules are not contrary to the provisions of the Constitution or the rules of the University. Section 4. A share of the fees of each student shall be contributed annually by the respective Colleges to the funds of the University, this share to be determined from time to time by the Senate. Section 5. Each College shall provide, as far as possible, and place at the disposal of the University, such facilities for teaching purposes as may be required by the Senate of the University. |

| Section 6.
Each College shall also be required to set apart one or more teachers, subject to the approval of the Senate, to give the greater part of their time to University teaching, whose work shall be assigned by the Senate. Section 7. Each College may make such provision for religious training and for teaching of theology as may be required by the Missionary Organization or Mission Body with which it is related. Colleges may make arrangements among themselves for the attendance of the students upon any theological instruction which may be desired. Section 8. Save as provided in section 7, no one of the participating organizations shall duplicate any work of the University except with the approval of the Senate. ARTICLE V. – THE BOARD OF GOVERNORS. Section 1. The Missionary Organizations participating shall have supreme control in all matters pertaining to the organization and administration of the University. This control shall be exercised by a Board of Governors in the Home Lands, consisting of representatives appointed by each of the Missionary Organisations; each of the original constituent organisations being entitled to appoint three members, and each organization subsequently admitted being entitled to appoint such a number of members as may be agreed upon when the organization is admitted. These representatives shall hold office for a term of three years, or until their successors are appointed. |

| Section 2.
The Board of Governors shall have power to add to their membership a number of persons, not exceeding twice the number of organizations participating; and the term of service of such coopted members shall be three years. Section 3. The Board of Governors shall hold, either in the name of one or more members of the said Board, or as a corporate body, if incorporated, on behalf of the University, all deeds of trust, endowments, and other property of the University not otherwise provided for. Section 4. Any action of the Senate involving a change in the general policy of the University, appointment of members of the Faculty (excepting Chinese teachers, and teachers appointed by the respective Colleges or Mission Bodies), admission of another Missionary Organization or educational institution to cooperation or affiliation, erection of an important building, purchase of additional land, or a total expenditure of more than two hundred pounds sterling, or one thousand dollars, in excess of the annual budget, shall require the authorization or confirmation of the Board of Governors. Any action taken by the Senate which is believed by the Board of Governors to involve a change in the general policy of the University, may be reviewed and rescinded by the Board of Governors. In the case of any action of the Senate to which all the representatives of one Missionary Organisation in the Senate are opposed, those representatives may appeal to the Board of Governors, provided that such appeal is approved by a majority of the Mission Body under the control of said organisation; in that case, the proposed action of the Senate shall not become valid unless or until it shall be confirmed by the Board of Governors. |

| Section 5.
The Board of Governors shall elect the President of the University, and all members of the Faculty, excepting Chinese teachers and teachers appointed by the respective Colleges or Mission Bodies; and may make the election in each case for such term of office as they may deem wise. ARTICLE VI. THE CHANCELLOR. The Board of Governors may from time to time elect suitable persons to the honorary position of Chancellor. The person so elected shall hold office for a period of two years. ARTICLE VII. THE PRESIDENT. The President shall be the chief executive officer of the University. He shall preside in meetings of the Convocation. He shall confer degrees on those persons to whom degrees are awarded by the Senate. He shall be ex officio a member of the Board of Governors, the Senate, and the Faculty. ARTICLE VIII-THE SENATE Section 1. The authority in all matters connected with the administration of the University, subject to the general control of the Board of Governors, shall be vested in a Senate. Section 2. The Senate shall include two representatives appointed annually by each Mission Body participating, and such members of the Faculty of the University as may be annually approved for membership in the Senate by the Board of Governors Provided that, in case the Board of Governors or any of the Mission Bodies shall fail to elect members of the Senate at the proper time, the members of the Senate shall continue in office until others are chosen. |

| Section 3.
The Senate may authorize the Convocation to elect annually a number of its members, not exceeding four, as members of the Senate, under such conditions as the Senate may prescribe. Section 4. The appointment of teachers in the University by the respective Colleges or Mission Bodies shall be subject to the approval of the Senate. The Senate shall elect all Chinese teachers, and shall assign to all members of the Faculty their respective duties. The Senate shall prescribe the courses of study and the regulations for degrees, and shall make such rules for the government of all affiliated Colleges, Schools, and Hostels, and of the entire student body, as may be deemed necessary for the harmonious action of all constituents of the University. The Senate shall award degrees to persons recommended by the Faculty as having fulfilled the requirements for the same. The Senate shall prescribe the fees to be paid by individual students to the University, as well as the proportional amount of students' fees to be contributed by the respective Colleges. Section 5. The Senate shall annually elect its own Chairman, and the Vice President, the Treasurer, the Secretary, and the Registrar of the University. The Vice President shall discharge all functions of the President in the absence of that officer. The Treasurer shall have the custody of the current funds of the University, and shall disburse the same as directed by the Senate and Board of Governors. The Secretary shall keep the records of the meetings of the Senate, and shall conduct the official correspondence of that body. The Registrar shall keep all records pertaining to the status of the students in relation to the University. |

教務會得授權評議會,按教務會所訂條件,每年選舉不超過四名評議會成員為教務會成員。 第四節 各學院或差會對本校教師之任命,須經教務會認可。中國籍教師悉由教務會選聘;教務會並為本校全體教師分派職責。教務會訂定各學科課程及學位規章,並制定管理各附屬學院、學校、宿舍及全體學生之規則,以期大學各部和諧運作。教務會依教師會之推薦,授予已完成學位要求者相應學位。教務會規定學生個人應向大學繳納之費用,並核定各學院應按比例上繳之學生費份額。 第五節 教務會每年自行選舉其主席,並選舉本校副校長、財務主任、秘書及註冊主任。校長缺席時,由副校長代行其一切職權。財務主任掌理大學日常經費,並依教務會及董事會指示支用。秘書保管教務會會議記錄,並辦理該會一切正式函件。註冊主任保管與學生在校身份有關之一切記錄。 |
| Section 6
The Senate shall prepare an annual budget, and shall submit the same to the Board of Governors. The Senate shall also send to the Board of Governors copies of the minutes of all its meetings. Section 7. The Senate may enter into negotiations with Mission Bodies that may be disposed to unite in the conduct of the University, and with educational institutions that may be disposed to affiliate or cooperate with the University, and may recommend to the Board of Governors such action as it may deem wiser. Section 8. The members of no one of the Mission Bodies cooperating in the University shall have a number of votes in the Senate equal to or exceeding one-half the total membership of that body. In case the members of a single Mission Body in the Senate shall equal or exceed in number one-half the total membership of the Senate, they shall determine which of their number shall have the right to vote, and shall notify the Secretary of the University of the choice which they have made. The other members shall have the right to participate in all discussions of the Senate, though not to vote. |

| Section 9.
One-third of the members of the Senate shall constitute a quorum, provided always that more than one half of the participating Mission Bodies be represented. ARTICLE IX.- THE FACULTY. The Faculty shall consist of all teachers of the University, elected by the Board of Governors, and such other teachers as may be designated by the Senate. The Faculty shall have charge of the discipline of the students of the University, subject to such regulations as may be prescribed by the Board of Governors or the Senate, shall recommend to the Senate for degrees those students who have met the requirements for the same, and may recommend to the Senate from time to time changes in courses of study and in the regulations of the University. The Faculty shall elect its own Chairman and Secretary. ARTICLE X. THE CONVOCATION. The Convocation shall consist of the whole body of the graduates of the University. The Convocation shall meet annually, and the Senate shall present to the meeting of the Convocation a report on the work of the University for the preceding year; provided that the meeting of the Convocation may be omitted in any year at the discretion of the Senate. ARTICLE XI.- DISPOSAL OF PROPERTY. In case any one of the participating organizations wishes to sell or lease any portion of its land acquired for the work of a College, or for other University purposes, an option effective for two years shall be given to the University. |

| ARTICLE XII.-WITHDRAWAL FROM COOPERATION.
Section 1. Any Missionary Organization participating in the University, and desiring to withdraw therefrom, shall give to the Senate not less than twelve months' notice in writing, and the Senate shall promptly forward the same to the Board of Governors. Section 2. In every such case of withdrawal, option of purchase of land and buildings acquired by the withdrawing organization for the work of a College or for other University purposes, shall be given to the University by the withdrawing organization, which option shall be effective for a period of two years. If the University desires to make the purchase, the price and conditions of sale shall be determined by mutual agreement, or by arbitration; but it is understood that the land, apart from improvements, shall be estimated at its original cost. Section 3. The University shall not be liable to refund any sums which it may have received from the withdrawing organization towards the general funds, or any special funds for equipment, or for any other University purposes. ARTICLE XIII. BY-LAWS. The Board of Governors may adopt for its own procedure any By-laws not inconsistent with this Constitution. The Senate may adopt for its own procedure and that of the Faculty and the Convocation any By-laws not inconsistent with this Constitution or with orders of the Board of Governors. |
第十二條 退出合作
第一節 凡參與本大學之差會,如欲退出,須提前不少於十二個月向教務會提交書面通知,教務會應隨即轉交董事會。 第二節 凡有退出情事,退出之差會對於其為學院或其他大學用途而取得之土地及建築物,應給予大學購買選擇權,該選擇權有效期為兩年。如大學願行購買,其價格及出售條件由雙方協議之,或依仲裁決定;惟雙方理解,土地本身(不包括改良物)應按其原始取得成本估價。 第三節 大學無須向退出之差會退還其已繳之任何一般經費、設備專款或其他用途之款項。 第十三條 附則 董事會得制定與其程序相關之附則,惟不得與本章程相牴觸。教務會亦得制定與其自身、教師會及評議會程序相關之附則,惟不得與本章程或董事會之命令相牴觸。 |
| ARTICLE XIV.- AMENDMENTS.
This Constitution may be amended by a majority vote of the Senate and of the Board of Governors, with the concurrence of three-fourths of the Missionary Organizations participating. The proposition for amendment may originate either in the Senate or in the Board of Governors. |

| NOTES ON THE CONSTITUTION
I. - UNIVERSITY. By the term "University," as used in this Constitution, shall be understood an institution comprising a group of Colleges and providing instruction leading to a Baccalaureate degree, and furnishing facilities for post-graduate work. II. COLLEGE. By the term "College," shall be understood an institution providing a building or buildings and one or more teachers in connection with the University, enrolling students, and providing residential accommodation for the same. III. - SCHOOL By the term "School," shall be understood an institution providing a building and a staff of teachers for giving instruction in any subject or group of subjects, in connection with the work of the University. IV. - HOSTEL By the term "Hostel," shall be understood an institution consisting of a Principal and students, and providing residential accommodation for the same, but not under obligation to provide teaching or equipment for the University. V. - MISSIONARY ORGANIZATION AND MISSION BODY The term "Missionary Organization," as used in this Constitution, signifies a Board or Society in one of the Home Lands entrusted with the management of foreign missions in behalf of any denomination or ecclesiastical organization. The term "Mission Body" signifies the group of missionaries in the locality of the University related to any one Missionary Organization. |

| BY-LAWS
OF THE BOARD OF GOVERNORS ARTICLE I. QUORUM. A quorum of the Board of Governors shall consist of seven members, including representatives of three Missionary Organizations. ARTICLE II. REPRESENTATION OF ABSENTEES. In case of the inability of any representative of one of the constituent organizations to attend a meeting of the Board of Governors, the organization which he represents shall have power to appoint a substitute. In case of the absence of any representative or representatives of some of the constituent organizations, the representative or representatives present shall have power to cast the full number of votes to which the organization is entitled. ARTICLE III. OFFICERS. The Board of Governors shall elect at their annual meeting a Chairman, two Vice Chairmen, a Secretary, and a Treasurer. The duties of those officers shall be those indicated by the respective titles, according to general usage. ARTICLE IV. EXECUTIVE COMMITTEE. The Board of Governors shall elect at the annual meeting an Executive Committee, consisting of the Chairman, the Secretary, the Treasurer, and two other members of the Board. This Committee shall have power to act in the intervals between the meetings of the Board on all matters requiring attention. |

| ARTICLE V. MEETINGS
There shall be an annual meeting of the Board of Governors in each calendar year at such time and place as may be appointed by the Board or by the Executive Committee. Unless otherwise ordered by the Board, or by the Executive Committee, in each period of four years, two annual meetings shall be held in the United States, one in Canada, and one in England. Special Meetings of the Board may be called by order of the Executive Committee. Meetings of the Executive Committee may be called by the Chairman of the Committee or by the Chairman or Secretary of the Board. ARTICLE VI. AMENDMENTS These By-laws may be amended by a two-thirds vote at any meeting, or by a majority vote of two consecutive meetings. |
