| CONSTITUTION OF THE UNION UNIVERSITY at CHENTU.
(Draft handed in by F. F. M. A. Representatives.) I. NAME. The name of this University shall be in Chinese: - HIWA HSI HSIOH T'ANG, and in English: - THE UNION UNIVERSITY, CHENTU. II. ESTABLISHMENT. The University is established, in the first instance, by a UNION of the four following bodies: - 1. American Baptist Missionary Union, 2. Canadian Methodist Mission, 3. Friends Foreign Mission Association, 4. Methodist Episcopal Mission; each of which agrees to found a college and contribute one or more men to the teaching staff of the University. Each body shall have the right to appoint one representative to the Senate. IV. ADMISSION INTO THE UNION. Any other body wishing, (a) To Found a college in the University, (b) To found a school in the University, for the teaching of any special subject, or group of subjects. |

| (c) To found a hostel in connection with the University,
(d) To contribute otherwise to the equipment or staff of the University, may make application for admission into the UNION. Such application shall, in the first place, be dealt with by the Senate of the University, who shall be able to refuse admission altogether. Upon a recommendation from the Senate to admit into the Union, the matter shall be referred to the bodies already participating, and the new body shall only be admitted in the event of the unanimous agreement on the part of the bodies concerned. "All bodies so admitted shall have privileges identical with those of the four bodies uniting in the establishment of the University. I. I. AIM. The object. of the University shall be the advancement of Christian truth by means of Higher Education in West China, (a) "By providing such facilities for the education of those connected with the various missions in West China, as shall enable them to take their place among the educated classes of the day; (b) By affording means for the Higher Education of Chinese youth of all classes. V. DEFINITION. The University shall be an corporation of individuals united together for the accomplishment of the above aim. |

| This body shall include, in the first place, all *past and present members of the teaching staff of each of the four colleges founded by the bodies uniting to establish the University (see Section III), together with one representatives from each of the bodies (as provided under Section XIV, Clause (b) i); to whom shall be added all graduates of the University who shall, from the day of graduation, become, ipso facto, members of the University. *
In this body shall; in the future, be included all *past and present members of the teaching staff of any col- leges, schools or hostels which may hereafter be established, under the provisions of this Constitution, and all other persons who may, from time to time, be added to the teaching staff of the University, together with one representative from each body admitted into the UNION under the provisions of Section III.IV. VI. COLLEGES. (a) A College of the University shall be an corporation of past and present teachers and students connected with one of the bodies participating in the Union. Each such body, in founding a college, must provide for the accommodation of the same, and for educational work in connection with the University. Bodies, other than the four original missions, wishing to found such Colleges may be admitted into the Union under the terms of Section XIV of the Constitution. |

| (b) The students of the Colleges shall be students of the University, and shall be entitled to enter for the courses of study and examinations provided by the University, subject to their conformity to the rules connected therewith.
(c) The management of the individual Colleges shall be independent of the control of the Senate so long as their rules are not contrary to the provisions of this Constitution. (d) Each College shall be required to make an annual contribution to the University funds proportionate to the number of its students; the amount levied to be decided annually by the Senate. (e) Each College shall, as far as possible, place at the disposal of the University such facilities for teaching purposes as may be required by the Faculty of the University. (f) Each College shall also be required to set apart one or more men to give the greater part of their time to University teaching under the assignment of the Senate, and in such manner as it may direct. (g) Each College shall provide a lodging for such assigned Chinese teachers as may be appointed to it by the Senate, and shall be at liberty to use them for minor duties in connection with the College. | (i) Each College shall be at liberty to make such provision for the teaching of Theology as may be required by its Board. Colleges may make arrangements among themselves for the attendance of students at any Theological instruction lectures which may be desired.
VII. SCHOOLS. (a) By the term "school" shall be understood any building and staff of teachers for the teaching of any subject or group of subjects in connection with the University; such schools being on a foundation independent of any College and established by some body other than the bodies founding Colleges in the University. Bodies wishing to found such schools may be admitted into the Union under the terms of Section IV of this Constitution. (b) Such schools shall place at the disposal of the Senate all the teaching facilities they possess for the use of the University. VIII. HOSTELS. (a) A Hostel of the University shall be an association, consisting of a principal and past and present student, connected with one of the bodies participating in the Union. Each such body, in founding a hostel, must provide accommodations for the same and may also provide one or more teachers for the University staff. |

| Bodies wishing to found such hostels may be admitted into the Union under the terms of Section IV of this Constitution.
(b) The students of such hostels shall be students of the University, and shall be entitled to enter for the courses of study and examinations provided by the University subject to their conformity to the rules connected there with. (c) * The management of such Hostels shall be independent of the control of the Senate so long as their rules are not contrary to the provisions of this Constitution. (d) Each Hostel shall be required to make an annual contribution to the University funds proportionate to the number of its students; the amount to be calculated on the same basis as for the colleges. (e) Subject to such general rules as the Senate may enact the personal conduct of each student shall be under the control of the Hostel to which he belongs. Each Hostel shall engage its own Chinese assistants for this purpose. (f) Hostels shall not be expected to provide facilities for University teaching, nor shall they be required to provide men for the University staff.
(a) Central Buildings, or such other contribution to University plant, being provided by any other body which also supplies a teacher or teachers for the University staff, shall be considered as a constituent element in the University. |

| Anybody wishing to enter in this manner into Union may be admitted under terms of Section of this Constitution.
(b) Such buildings or other part of the University plant shall be under the control of the Senate, as in the case of schools, and the teachers so supplied shall be subject to its appointment as in the case of teachers connected with the Colleges. X. *OTHER TEACHERS. (a) Other persons may be set apart for the purposes of teaching in the University, by bodies wishing to participate in the Union, but unable to found a college, school, or hostel, or otherwise contribute to the University plant. Any body wishing to enter into the Union may be admit- ted under the terms of Section IV of this Constitution. (b) Such teachers shall be under appointment from the Senate as in the case of teachers connected with the Col- leges. XI. ASSOCIATED COLLEGES. (a) "Associated Colleges shall be such as, being founded by missions and conforming to the standards and rules laid down by the Senate, shall hereafter be admitted by it. Such admission shall not include membership in the Union on the part of the body founding the College. |

| (b) Students from such Colleges shall be permitted to take the examinations and receive the Diplomas of the University.
XII. CONTROL. (a) The University shall recognize the bodies participating in the Union, as having a jointly controlling voice in matters of Policy and constitutional changes. (b) " In the event of a difference of opinion arising in matters either of general policy or of management, which shall be deemed of sufficient importance to warrant such action, the Home Executive of any of the bodies participating in the Union, either directly or through its representatives, may ask for a suspension of action in order that the Home Executives may have an opportunity of expressing their opinion in the matter in question. (c) If, after an interval of six months, no expression of opinion from the Home Executives has been received, the objection raised shall no longer be deemed valid. XIII. CONVOCATION. (a) All members of the University as defined in Section V shall be members of the Convocation of the University. (b) Convocation shall meet annually to receive a report from the Senate as to the year's working of the University and to elect four members to serve on the Senate for the ensuing year (as directed under Section XIV, Clause 6, iv). (c) University to preside at all meetings of Convocation. |

| XIV. SENATE.
(a) Subject to the reservation mentioned in Section XII of this Constitution, the authority in all matters connected with the University shall be vested in a Senate. (b) The Senate of the University shall be composed as follows: i. One representative appointed directly by each body participating in the Union (Sections II and III); ii. All missionaries appointed to give the whole, or the larger part, of their time to University, College or Hostel work, by the various bodies participating; iii. Such other persons engaged in University teaching as the Senate may from time to time co-opt; iv. Four representatives elected by ballot annually by Convocation from a list approved by the Senate. (c) The Senate shall annually elect the following officers of the University: i. President of the University (whose duty it shall be to preside at all meetings of the Senate); ii. Treasurer; iii. Secretary; iv. Registrar; |
十四、参议院(Senate)
(a) 除第十二条保留事项外,参议院为大学最高权力机构。 (b) 参议院组成如下: (i) 各参与差会直接指派一名代表; (ii) 各差会派遣之专职大学、学院或宿舍传教士; (iii) 参议院随时增聘之其他教学人员; (iv) 毕业生大会每年从参议院核准名单中投票选出四名代表。 (c) 参议院每年选举下列职员:校长(主持会议)、司库、秘书、注册主任。 |
| (d) The Senate shall appoint to the various departments:
i. Those set apart as teachers by the bodies participating in the Union; ii. Other persons as may be required by the work of the University. (e) The Senate shall have general management of the academic work of the University, including the courses of study, the preparation of curricula in the various departments, the examinations for degrees, scholarships, prizes and certificates of honor. (f) The Senate shall grant degrees on the recommendation of the Faculty. (g) The Senate shall have charge of all such matters as shall need to be dealt with in a uniform manner by all Colleges, Schools, Hostels or Students. (h) The Senate shall employ directly all Chinese teachers engaged in University teaching, and appoint the same to the various colleges, in which they shall be able to perform certain minor duties. (i) The Senate shall arrange for the conducting of a weekly service for all students of the University. (j) The Senate shall deal, in the first place, with all applications for admission into the Union, and if it thinks fit refer them to the Home Executives of the already participating bodies for their approval (see Section III). (k) The Senate shall decide on the rules and standards for Associated Colleges, and shall have power to admit the same (see Section X). |
(d) 参议院任命各教学部门教师。

| (l) The Senate shall control the finances of the University, draw up an annual budget, and determine the contribution to be made by each College or Hostel to the funds of the University.
(m) The Senate shall have power to constitute a Board of Trustees if such shall be required. (n) No one body shall have a voting power on the Senate equal to half the total membership. In the event of any body having a representation equal to or larger than that of all combined the other bodies put together it shall decide which of its representatives shall, in order to conform with the above rule, have no votes, and shall communicate their names in writing to the Secretary. (o) One-third of the total members of the Senate shall form a quorum, provided always that more than half of the participating bodies be represented. XV. FACULTY. (a) All members of the teaching staff of the University, whether Chinese or foreign, upon their appointment by the Senate, shall become members of the Faculty of the University, and shall so continue as long as they are engaged in University work. (b) The Faculty shall have power to constitute any section of its membership as a special Faculty of one department of University work, and to appoint a dean of that Faculty to preside over its meetings. It shall be able to delegate to such Faculty or Faculties such portion of its work as may be more conveniently dealt with departmentally. |
(l) 参议院掌管大学财务:编制年度预算,酌定各院、宿舍应缴捐款。
(m) 参议院得设立董事会(Board of Trustees)管理捐款及特别基金。 (n) 任何差会在参议院之表决权不得过半;若某差会代表人数等于或超过其他差会总和,须自行决定其中部分代表放弃表决权,并将名单书面通知秘书。 (o) 参议院会议须三分之一成员出席方为有效,且须过半数参与差会代表在场。 十五、教师团(Faculty) (a) 凡经参议院任命之中外教师,均为教师团成员,在职期间持续享有成员资格。 (b) 教师团得就任何学系设立分团,并委任系主任主持会议;可将部分工作委托分团办理。 |
| (c) The Faculty shall outline the courses of study, make recommendations regarding the conduct and time of examinations for various departments, and submit the same to the Senate for approval.
(d) The Faculty shall make recommendations to the Senate as to the granting of degrees. (e) The Faculty shall determine time-tables and grant dispensations from the Lectures, and Laboratory work, of the University. XVI. FINANCIAL. (a) The funds of the University shall be drawn from the following sources: i. Contributions from the Colleges and Hostels; ii. Fees for Matriculation and Graduation; iii. Contributions for special objects from the bodies participating in the Union; iv. Special donations, subscriptions and endowments; v. Any interest that may be derived from the above. (b) These funds shall be at the disposal of the Senate. (c) Endowments and funds for special objects shall be held by the Trustees appointed under Section XIV., Clause (m). |
(c) 教师团拟定课程大纲及考试安排,提交参议院核准。

| XVII. WITHDRAWAL FROM THE UNION.
(a) Any body participating in the Union, and desiring to withdraw therefrom, shall give to the Senate and to each of the other participating bodies not less than twelve months' notice in writing of its intention so to withdraw. (b) Such body shall, before letting or selling any land or buildings acquired by it for the work of a college or for other University purposes, offer to let or sell the same to the University. If the University accepts this offer, the price and conditions of sale shall be determined by mutual agreement, or, failing such agreement, by arbitration. (c) The University shall be at liberty either to retain the land and buildings thus acquired, or to re-let or re-sell them to any one or more of the bodies participating in the Union. (d) The University shall not be liable to refund any sums which it may have received from the body withdrawing, toward its general funds or towards special funds for equipment or other University purposes. XVIII. ALTERATION OF CONSTITUTION. Any member of the Senate wishing to bring forward a motion involving any change in the Constitution of the University shall give notice of the same both to the Senate and to each of the Home Executives. The question shall not be voted on in the Senate till an interval of eight months has elapsed. |

(a) 欲退出之差会须提前十二个月书面通知参议院及其他差会。 (b) 该差会若欲出租或出售曾为大学或学院所用之土地或楼宇,须先向大学报价;大学若接受,价格及条件由双方协议,否则交付仲裁。 (c) 大学得保留、出租或转售该项产业予任何参与差会。 (d) 大学无义务退还该差会已缴之任何款项(无论归入普通基金或设备专款)。 十八、章程修改 任何参议院成员欲提出修改章程之动议,须同时通知参议院及各差会本部。八个月内不得表决; |
| At the end of that period, if it be carried by a majority of three-fourths of the total membership of the Senate, it shall be referred to the bodies participating in the Union. In order to be adopted it must then be ratified by three-fourths of the said bodies.
